We may transfer personal data outside the European Economic Area (EEA) only where adequate safeguards are in place, including Standard Contractual Clauses approved by the European Commission, in accordance with Article 46 of the GDPR.

3. Refund Policy

At QuantumHarborLabs, headquartered at Calle Juan de la Cierva 11, Piso 2 B, Arganda del Rey, Madrid, Spain, we are committed to delivering high-quality e-commerce solutions. This Refund Policy outlines the conditions under which refunds may be issued.

3.1 Eligibility for Refund

Refund requests are evaluated on a case-by-case basis according to the project milestones and deliverables outlined in the original service agreement. A full or partial refund may be issued if: (a) the service has not yet commenced; (b) a milestone has been delivered but does not meet the specifications defined in the signed agreement; or (c) QuantumHarborLabs is unable to fulfill the agreed-upon scope due to internal circumstances.

3.2 Non-Refundable Services

The following are not eligible for refund: (a) work completed and approved under signed milestone acknowledgments; (b) third-party software licenses or subscriptions procured on behalf of the client; (c) consulting or advisory hours already rendered.

3.3 Refund Process

To request a refund, contact QuantumHarborLabs at [email protected] with your project reference number and a detailed description of the issue. Refund requests must be submitted within 14 calendar days of the relevant milestone delivery date.

3.4 Refund Timeline

Approved refunds will be processed within 10 business days via the original payment method. QuantumHarborLabs reserves the right to deduct a reasonable administrative fee of up to 5% for processing costs.

4. Terms of Service

These Terms of Service ("Terms") govern the relationship between QuantumHarborLabs, with registered office at Calle Juan de la Cierva 11, Piso 2 B, Arganda del Rey, Madrid, Spain, and any client ("Client", "you") who engages our services. By engaging QuantumHarborLabs, you agree to these Terms.

4.1 Scope of Services

QuantumHarborLabs provides e-commerce development, integration, and optimization services as described in individual project proposals and statements of work. Each engagement is governed by a separate service agreement specifying scope, deliverables, timelines, and fees.

4.2 Payment Terms

Unless otherwise specified in the service agreement, invoices are payable within 14 calendar days of issuance. Late payments may incur a statutory interest rate of 8% per annum in accordance with Spanish commercial law. QuantumHarborLabs reserves the right to suspend work on any project where payment is overdue by more than 30 days.

4.3 Intellectual Property

Upon full payment, all custom code, designs, and deliverables created specifically for the Client under a service agreement are assigned to the Client. QuantumHarborLabs retains the right to use anonymized case studies, methodologies, and general techniques for portfolio and marketing purposes unless explicitly prohibited in writing.

4.4 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of the engagement. This obligation survives the termination of the service agreement for a period of 3 years.

4.5 Limitation of Liability

QuantumHarborLabs shall not be liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunity. Our total aggregate liability under any service agreement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

4.6 Termination

Either party may terminate a service agreement with 14 calendar days' written notice. Upon termination, the Client shall pay for all work completed up to the termination date. QuantumHarborLabs shall deliver all completed work product to the Client within 7 business days of termination.

4.7 Governing Law

These Terms are governed by the laws of Spain. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
